AMD announces the completion of its acquisition of ZT Systems, a server provider specializing in data center infrastructures for cloud computing and AI. This $4.9 billion transaction marks a crucial step in the company's growth strategy against its main competitors, Intel and Nvidia.
The AI accelerators market for data centers is estimated to reach $500 billion by 2028. In this context, AMD is betting on a combination of integrated technologies to offer a new generation of end-to-end AI solutions "combining cutting-edge systems and rack-level expertise with AMD GPUs, processors, network silicon, and open-source software." 
Announced in August 2024, the operation, which received the necessary regulatory approvals, including that of the European Commission on March 15, has also been unanimously approved by AMD's board of directors. The company expects this transaction to be accretive on a non-GAAP basis by the end of 2025, demonstrating its value creation potential.
ZT Systems, based in Secaucus, New Jersey, is recognized for its customized solutions for leading cloud service providers, including Microsoft and Meta Platforms. Its team of 1,000 engineers specializing in hardware design and servers will join AMD's Data Center Solutions division, led by Forrest Norrod, AMD's executive vice president, bringing their expertise to meet the needs of hyperscale clients. Meanwhile, AMD plans to divest ZT Systems' manufacturing unit and is actively seeking strategic partners for this transaction. This decision aims to refocus AMD on its core business: developing hardware and software solutions for AI and cloud computing.
Additionally, Frank Zhang, founder and former CEO of ZT Systems, joins AMD as senior vice president of ZT Manufacturing, while Doug Huang, former president of ZT Systems, will serve as senior vice president of data center platform engineering.
